General Terms of Service

Policy version: GTS-2026-10-19-V4

Effective date: October 19, 2026

These General Terms of Service (“Terms”) govern non-membership services provided by Anacapa Commerce LLC, doing business as The AMZ Specialist (“The AMZ Specialist,” “we,” “us,” or “our”).

By purchasing a service, booking a session, or accepting a proposal, statement of work, or scope confirmation, you agree to these Terms. If you act for a business or another person, you represent that you have authority to accept these Terms on their behalf.

AMZ Specialist Access is governed by the separate AMZ Specialist Access Membership Terms. Our handling of personal information is described in the Privacy Policy.

Services accepted before this effective date remain governed by the policy version incorporated into that agreement unless amended in writing.

1. Services and scope

1.1 Amazon Ads Performance Audit: $995 one-time

The Amazon Ads Performance Audit is an independent evaluation of the Amazon advertising account, information, and materials made available to us. It includes the deliverables described on the applicable service and checkout pages. It does not include implementation, ongoing management, or work outside the stated deliverables unless separately agreed in writing.

1.2 60-Minute Strategy Session

A Strategy Session is a scheduled advisory session covering the Amazon questions the client chooses to bring within the booked time. Topics may include advertising, listings, catalog issues, inventory, launches, and marketplace strategy. Implementation and extensive research outside the session are separately scoped.

  • Public price: $299.
  • Active AMZ Specialist Access member price: $249.

The member price is available only when the qualifying Access membership is active at booking.

1.3 Amazon Performance & Growth Blueprint

The standard price is $2,495 one-time. The introductory launch rate is $1,995 for the first three qualifying paid engagements. Promotional availability is confirmed before invoicing, and an inquiry does not reserve a place.

The Blueprint is a comprehensive diagnostic delivered under a written scope confirmation. It does not include implementation.

1.4 45-Day Efficiency Reset: $3,995 one-time for Standard

The Reset is a defined implementation engagement governed by an accepted Client-Specific Scope Confirmation and the exact Standard Reset Service Terms Addendum identified in that confirmation. Expanded or materially different work is quoted separately.

The $500 Audit-to-Reset credit and Reset-specific scope, earning, cancellation, refund, handoff, correction, and access-loss rules are governed by those accepted Reset documents and the Cancellation & Refund Policy.

1.5 Amazon Marketplace Projects

Amazon Marketplace Projects are custom fixed-quote listing, SEO, A+ Content, Brand Store, catalog, launch, or related marketplace engagements delivered under an accepted proposal or statement of work.

1.6 Amazon Ads Management

Amazon Ads Management Standard is $2,000 per month plus a $750 one-time onboarding fee. Standard includes the campaign coverage and monthly Setup/Rebuild capacity in the accepted proposal and has a three-service-month initial commitment.

Larger scopes, Sponsored Display, Vendor Central, additional marketplaces, or materially different requirements are quoted as Custom.

1.7 Full Amazon Account Management

Full Amazon Account Management is offered as Core from $4,500 per month, Growth from $6,500 per month, or a Custom quote. Core and Growth cover advertising, listings and SEO, digital creative, catalog, marketplace operations, reporting, and strategy within defined monthly capacity for one US Seller Central account.

Onboarding and transition are included in the monthly fee. During the first service month, onboarding replaces one Standard listing or creative execution package. Core retains one Standard package; Growth retains two Standard packages or one Advanced package. Broader coverage is quoted before acceptance.

1.8 Scope boundary

Services not included in a checkout description, accepted proposal, statement of work, or scope confirmation are outside the agreed scope and may require a separate agreement and fee.

2. Proposals, scope confirmations, and incorporated documents

An accepted proposal, statement of work, or scope confirmation controls the engagement-specific scope, capacity, fees, billing schedule, timing, deliverables, approvals, service period, cancellation terms, termination terms, and any expressly authorized departure from these Terms.

For the 45-Day Efficiency Reset, the Client-Specific Scope Confirmation and the exact Standard Reset Service Terms Addendum identified in that confirmation govern Reset-specific scope, earning, cancellation, refund, handoff, and Audit-credit rules. Those accepted documents control the same Reset-specific subject if a generalized website summary differs.

For Amazon Ads Management and Full Amazon Account Management, the accepted proposal identifies the plan, account coverage, capacity, onboarding treatment, client approvals, billing dates, service period, notice terms, and any Custom departures.

The accepted agreement identifies the exact versions of these Terms, the Cancellation & Refund Policy, the Privacy Policy, and any service-specific addendum or specification incorporated at acceptance. Those accepted versions remain part of that engagement. A later public-policy or specification revision does not alter an existing agreement unless both parties expressly agree in writing to the amendment.

3. Client responsibilities

You agree to:

  • provide accurate, complete, and timely information;
  • provide appropriate access to relevant Amazon accounts, reports, and supporting materials;
  • use secure permissions or delegated access where available instead of sharing account passwords;
  • respond to reasonable questions and requests for information;
  • review recommendations, drafts, and proposed actions in a timely manner;
  • ensure that you have the right to provide the materials, data, claims, content, and instructions submitted for the engagement; and
  • retain responsibility for your business decisions, account activity, product compliance, inventory, pricing, listings, and implementation unless an accepted agreement expressly assigns an activity to us.

You must not knowingly provide unlawful, infringing, or unauthorized materials or instructions.

Delays in providing required information, decisions, or access may extend delivery dates. We are not responsible for delay or incomplete analysis caused by missing, inaccurate, or inaccessible information.

4. Fees, payment, and taxes

Prices displayed on the website apply at the time of purchase. We may change prices for future purchases, but a price change does not retroactively alter a completed purchase or accepted agreement.

Proposal-based services are billed according to the accepted proposal or invoice. Payments may be processed through Stripe or another disclosed payment provider. You agree to provide accurate billing information and authorize the applicable charges.

Unless otherwise stated, fees are in US dollars. You are responsible for taxes that apply to your purchase, except taxes imposed on our income.

We may pause work on overdue accounts after reasonable notice, subject to Section 12.

5. Scheduling and delivery

Audit timing begins after we receive the information and account access reasonably necessary to perform the review.

Strategy Sessions last up to 60 minutes and ordinarily end at the scheduled time, including when a client joins late. Rescheduling and cancellation rules are stated in the Cancellation & Refund Policy.

Blueprint timing is governed by the accepted scope confirmation. Reset timing is governed by the accepted Reset documents. Management service periods and delivery cadence are governed by the accepted proposal.

Delivery dates are good-faith estimates unless an accepted agreement expressly identifies a date as binding. Client delays, platform problems, or circumstances outside our reasonable control may extend an estimate. This does not excuse provider obligations that were due before the delay or provider nonperformance unrelated to the delay.

6. Professional judgment and no guaranteed results

Amazon results depend on factors outside our control, including competition, marketplace conditions, product demand, inventory, pricing, reviews, listing quality, account history, Amazon policies, platform changes, and client decisions.

We provide analysis, recommendations, and services using professional judgment based on the information reasonably available at the time.

We do not guarantee:

  • sales, profit, revenue, rankings, impressions, clicks, conversion rates, return on ad spend, advertising cost of sales, or other performance results;
  • approval or favorable treatment by Amazon;
  • that Amazon will not suspend, restrict, modify, or terminate an account, listing, campaign, feature, or program; or
  • that a recommendation will remain appropriate after a material marketplace, business, or platform change.

Our services are business and advertising guidance, not legal, tax, accounting, investment, or financial advice. You remain responsible for evaluating recommendations and deciding whether and how to implement them, except where an accepted agreement expressly assigns implementation to us.

7. Amazon and other third-party platforms

Amazon, Stripe, scheduling providers, video-conferencing providers, analytics services, and other third-party platforms operate independently of The AMZ Specialist.

We do not control their availability, security, policies, decisions, fees, errors, outages, suspensions, enforcement actions, or changes. We are not Amazon and do not act on Amazon’s behalf. We may adjust timing or scope when a platform change materially affects an engagement, subject to the accepted agreement.

8. Confidentiality and privacy

Each party will use reasonable care to protect nonpublic business information received from the other and will use it only for the engagement, legal compliance, or another purpose authorized by the disclosing party.

Information may be disclosed to service providers or professional advisers who reasonably need it for the engagement, or when disclosure is required by law.

Confidentiality does not apply to information that:

  • is or becomes public through no breach of these Terms;
  • was lawfully known without a confidentiality duty;
  • is independently developed without using the other party’s confidential information;
  • is lawfully received from another source; or
  • must be disclosed by law, court order, or valid governmental request.

Our collection and handling of personal information are described in the Privacy Policy. Confidentiality and privacy obligations that by their nature apply after service ends survive termination.

9. Intellectual property

You retain ownership of your business information, account data, trademarks, and materials. You grant us a limited right to use those materials as reasonably necessary to perform and administer the engagement.

We retain ownership of our pre-existing methods, templates, processes, frameworks, know-how, and reusable materials.

After full payment, you receive a nonexclusive, nontransferable license to use completed client-specific deliverables internally for your business. You may share deliverables with employees, contractors, accountants, attorneys, or other professional advisers who reasonably need them for your business. You may not resell, publicly distribute, publish, sublicense, or present our deliverables as the work of another provider without written permission.

10. Management billing and initial commitment

Amazon Ads Management and Full Amazon Account Management monthly fees are billed in advance on the service-start anniversary. A partial first service period is prorated only when the accepted proposal expressly provides for it.

The initial commitment is three service months. The client may give ordinary cancellation notice during that commitment, but termination cannot take effect before the initial commitment ends and remains subject to the applicable notice period. Ordinary cancellation does not eliminate payments due for the initial commitment. Service remains available through the paid term, subject to client cooperation, access, and the agreement. No separate early-termination penalty applies.

After the initial commitment, ordinary cancellation requires 30 calendar days’ written notice. It takes effect at the first service-month end occurring on or after the 30-day notice period expires. For example, with calendar-month billing, notice received April 10 ends service May 31.

The monthly fee covers delivery of the agreed ongoing service during the applicable service month. Passage of time alone does not excuse provider nonperformance or convert an undelivered provider obligation into earned performance.

11. Management capacity, priorities, and unused capacity

Management services provide recurring oversight and defined execution capacity, not unlimited work. The accepted proposal identifies covered campaigns, monthly Setup/Rebuild allowances, listing or creative execution packages, catalog or operations capacity, meetings, reporting, and other included work.

The parties confirm priorities and included work in writing. A substitution must identify the replacement deliverable before work begins. The same work is not counted twice merely because it touches more than one discipline.

Unused monthly capacity expires at the end of the applicable service month. It does not roll over, reduce a later fee, or create a cash credit. Work that The AMZ Specialist could not deliver because of its own delay is rescheduled and is not treated as expired client capacity.

Ordinary cancellation effective at a service-month end does not create separate refunds for individual unused packages or unused client capacity. At service end, The AMZ Specialist provides completed work and usable in-progress work without an additional closeout fee.

12. Management suspension, termination, refunds, and transition

12.1 Suspension and provider closure

The AMZ Specialist may suspend affected work or close a Management engagement for nonpayment, loss of required access, unlawful or Amazon-prohibited instructions, a material client breach, abuse or threats, a material security risk, or repeated failure to provide required decisions after written notice.

When the issue is curable and does not require urgent action, the client has five business days after notice to cure it. We may act without that cure period only to the extent reasonably necessary to address an urgent security, safety, legal, platform-policy, or uncontrolled-spend risk.

12.2 Client termination for provider breach

The client may terminate for a material breach by The AMZ Specialist that remains uncured five business days after written notice, unless the breach cannot reasonably be cured. This right is separate from ordinary cancellation.

12.3 Effective service end and surviving obligations

A termination or closure notice states the documented effective service-end date. The client owns and controls its Amazon account throughout the engagement. Ongoing monitoring and management duties end on the documented effective service-end date.

Ending those ongoing duties does not end any applicable correction, refund, transition, confidentiality, intellectual-property, payment, limitation-of-liability, dispute, or other obligation that survives by its terms or nature.

12.4 Daily proration

If The AMZ Specialist closes a Management engagement, including closure for client breach, or the client terminates for The AMZ Specialist’s uncured material breach, unused prepaid recurring service for the affected service month is refundable by daily proration.

The daily recurring rate equals the prepaid recurring monthly fee divided by the number of calendar days in that service month. The refundable unused-service amount equals that daily rate multiplied by the calendar days after the documented effective service-end date through the end of the prepaid service month. The result is rounded to the nearest cent.

Any separately owed contractual amount must be identified and supported independently under the accepted agreement. It is not created by labeling unused prepaid service as earned and does not alter the daily-proration calculation.

12.5 Onboarding

The $750 Amazon Ads Management onboarding fee covers baseline analysis, campaign coverage and priorities, budget and approval setup, reporting configuration, and management transition. Onboarding preparation does not consume monthly Setup/Rebuild capacity. Campaign implementation uses that capacity. Initial restructuring beyond included capacity is quoted before acceptance.

The onboarding fee is earned when the complete onboarding package has been delivered and documented. If the engagement ends before that event, the genuinely unearned onboarding amount is refunded. Verified provider-attributable defects are corrected without another onboarding fee.

Prior Audit or Reset work does not create an automatic Management credit, discount, or onboarding reduction.

Full Amazon Account Management onboarding remains included in the monthly fee and has no separate onboarding charge.

12.6 Refund timing

Undisputed refunds are initiated to the original payment method within five business days after they become due. Payment-provider, card-network, and financial-institution posting times are outside our control.

12.7 Transition and lost access

Within five business days after service ends, The AMZ Specialist provides a transition record identifying covered campaigns or workstreams, material completed work, usable in-progress work, open decisions, known immediate risks, and the effective service-end date. No additional closeout fee applies.

If required access is lost, we promptly warn the client that campaigns may continue spending and that the client must monitor and control them. We provide the transition record from available records when access cannot be restored for closeout and document whether access removal was requested or confirmed.

13. Complimentary Management fit-and-scope review

We may provide one complimentary fit-and-scope review per Management prospect, capped at 30 minutes of account-review time. It produces a scope recommendation and quote, not an audit, roadmap, or implementation plan.

A paid diagnostic may be recommended when scope cannot be evaluated responsibly from the available information. It is not a mandatory gate and creates no Management credit.

Before account access, the prospect must accept applicable confidentiality and limited-use terms. We request only minimum necessary permissions, use read-only permissions where supported, request no Amazon password, make no account changes, and do not record a screen share without express consent. The prospect may revoke access at any time.

When the review ends, we stop access, request revocation in writing, and remove our own access where supported. Requested revocation and confirmed revocation are recorded separately. Review information is used only to evaluate fit, determine scope, and prepare the recommendation and quote, subject to the Privacy Policy.

14. Cancellations and refunds generally

Cancellations, rescheduling requests, and refund eligibility are governed by the separate Cancellation & Refund Policy, Section 12 of these Terms where applicable, and any accepted proposal, statement of work, or scope confirmation.

AMZ Specialist Access membership cancellations, renewals, and refunds are governed by the separate Access Membership Terms. Nothing in these Terms limits a cancellation, refund, or other right that cannot lawfully be waived.

15. Limitation of liability

To the extent permitted by law, The AMZ Specialist’s total liability arising from a service will not exceed the amount paid for the service giving rise to the claim.

For a recurring service, total liability will not exceed the fees paid for that service during the six months before the event giving rise to the claim.

To the extent permitted by law, The AMZ Specialist is not responsible for indirect or consequential business losses, such as lost profits or lost opportunities.

This section does not limit responsibility for fraud, willful injury, violation of law, or any other liability that cannot lawfully be limited.

16. Events outside reasonable control

Neither party is responsible for delay caused by events outside its reasonable control, including platform outages, government actions, natural disasters, widespread internet failures, labor disruptions, or failures of third-party systems.

This section does not excuse payment for work already completed, provider nonperformance unrelated to the event, or obligations that survive the end of a service.

17. Governing law and disputes

Before filing a legal action, the parties will provide written notice describing the dispute and make a good-faith effort to resolve it informally for at least 30 days.

These Terms are governed by California law, without regard to conflict-of-law principles. To the extent permitted by applicable law, legal proceedings relating to these Terms or a covered service will be brought in a court with jurisdiction in Ventura County, California.

This section does not prevent either party from pursuing an eligible claim in small-claims court or seeking urgent relief when reasonably necessary.

18. Policy versions and changes

The version of these Terms identified in an accepted agreement remains part of that engagement. We may update the public Terms prospectively. A later public revision or rollback does not alter an accepted agreement, agreed fees, completed work, or rights that have arisen unless both parties expressly agree in writing.

19. General provisions

If a provision of these Terms is found unenforceable, the remaining provisions continue in effect. Failure to enforce a provision is not a waiver of the right to enforce it later.

These Terms, the applicable Cancellation & Refund Policy, Privacy Policy, accepted proposal or scope confirmation, and expressly incorporated service documents form the agreement for the covered service.

Electronic communications and signatures may be used in connection with an engagement.
